VENDA TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
By creating an account on Venda ("the Service"), you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these terms.
2. SERVICE DESCRIPTION & SUBSCRIPTION
Venda provides a Point of Sale (POS) and inventory management platform.
Subscription Models:
Access is granted based on the Starter (₦6,000/mo) or Pro (₦35,000/mo) plans.
The 6-1-2-35 Guardrail:
Starter plans are strictly limited to 1 branch, 2 staff seats, and 500 items. Attempting to bypass these technical limits is a breach of service.
Trial Period:
New users receive a 14-day free trial. Users joining via a referral link receive an extended 21-day trial.
3. PAYMENTS & REFUNDS
Processing: All payments are processed via Paystack. Venda does not store your credit card details.
No Refunds: Due to the digital nature of the service and the availability of a free trial, all subscription payments are non-refundable.
Renewal: Subscriptions do not auto-renew by default. Access will be restricted ("Terminal Lockout") immediately upon expiration if payment is not received.
4. REFERRAL & BOUNTY PROGRAM
One-Time Bounty: Referrers earn a one-time cash bounty (₦1,200 for Starter / ₦5,000 for Pro) upon the referred user’s first successful payment.
Wallet Withdrawals: Funds in the Venda Wallet can be withdrawn once the balance reaches ₦5,000.
Verification: Venda reserves the right to withhold bounties if fraudulent activity or "referral farming" is detected. All bank details must be verified via our automated account lookup.
5. DATA PRIVACY (NDPA 2025/2026 COMPLIANCE)
Ownership: You own your business data (sales, inventory, customers).
Usage: Venda processes this data only to provide the service. We do not sell your merchant data to third parties.
Security: We implement AES-256 encryption for data at rest and TLS 1.2+ for data in transit.
6. LIMITATION OF LIABILITY
"As Is" Basis: Venda is provided "as is." We are not liable for business losses, "missing money," staff theft, or inventory discrepancies resulting from the use of the software.
Offline Logic: While Venda supports offline sales, the user is responsible for ensuring the device reconnects to the internet to sync data. Venda is not liable for data lost due to cleared browser caches or device damage.
Maximum Liability: In no event shall Venda’s liability exceed the total amount paid by you to Venda in the three (3) months preceding the claim.
7. ACCEPTABLE USE & STAFF CONDUCT
Role Responsibility: Account Owners are responsible for the actions of their invited Staff.
Prohibited Acts: You may not use Venda for illegal trade, money laundering, or to process fraudulent bank transfers.
8. GOVERNING LAW
These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be settled through arbitration in Lagos, Nigeria.
